Terms of Service

Joseph Intelligence provides the following AI intelligent solution services:

• AI Intelligent Customer Service (multi-platform integration: LINE, WhatsApp, Messenger, etc.)
• GEO Generative Engine Optimization
• AI Intelligent Website Development & Optimization
• J-Insights Integrated Marketing Analytics System
• Enterprise AI Transformation Strategy Consulting

We reserve the right to modify, suspend, or terminate any part or all of our services at any time without notice.

2.1 Eligibility: To use our services, you must be at least 18 years of age or have full legal capacity. If you are using the services on behalf of a company or organization, you represent and warrant that you have the authority to accept these terms on behalf of that entity.

2.2 Account Security: You are responsible for maintaining the security and confidentiality of your account. You agree to be responsible for all activities conducted under your account. If you discover any unauthorized use, please notify us immediately.

2.3 Account Information: You agree to provide true, accurate, current, and complete registration information and to promptly update it to maintain its accuracy.

When using our services, you agree not to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights or other rights of others
• Upload or transmit any viruses, malware, or harmful code
• Attempt unauthorized access to our systems or networks
• Interfere with or disrupt the operation of services or servers
• Use automated tools (e.g., bots) to access services without authorization
• Engage in any fraudulent, misleading, or improper conduct
• Collect or store others' personal data without proper authorization

4.1 Our Rights: Unless otherwise expressly stated, our services and all their content, functionality, and features are owned by Joseph Intelligence, its licensors, or other content providers, and are protected by the laws of the Republic of China and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

4.2 License to Use: These terms grant you a limited, non-exclusive, non-transferable license to access and use the services for your personal or internal business use.

4.3 User Content: You retain all rights to the content you upload to the services. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing and improving our services.

5.1 Service Fees: Our services use a customized quotation model. Specific fees are determined based on the type of service, scope of functionality, and scale of use selected, and are clearly agreed upon in the service contract.

5.2 Payment Terms: Unless otherwise agreed, service fees are payable according to the payment schedule specified in the contract. Late payment may result in service suspension or termination.

5.3 Taxes: All fees are exclusive of applicable taxes. You are responsible for paying all taxes related to your use of our services.

5.4 Price Adjustments: We reserve the right to adjust service pricing at any time. Price changes will be communicated to existing customers at least 30 days in advance and will take effect in the next billing cycle.

6.1 Cancellation Policy: You may cancel services at any time; however, fees already paid (unless otherwise required by law) are generally non-refundable. Cancellation takes effect at the end of the current billing cycle.

6.2 Refund Conditions: Refund requests will be evaluated on a case-by-case basis. If you believe you are entitled to a refund, please contact our customer service department.

6.3 Service Termination: If we terminate your service due to a violation of these terms, no refund will be provided.

7.1 Service Quality: We are committed to providing high-quality services; however, we do not guarantee that services will be uninterrupted, timely, secure, or error-free.

7.2 Disclaimer: To the maximum extent permitted by law, our services are provided on an "as is" and "as available" basis, without any express or implied warranties.

7.3 Third-Party Services: Our services may include or link to third-party services, websites, or resources. We are not responsible for the availability, accuracy, or content of such third-party services.

7.4 Data Backup: You are responsible for maintaining backups of your data. We are not liable for any data loss resulting from the use of our services.

To the maximum extent permitted by law, Joseph Intelligence and its directors, employees, agents, partners, and licensors shall not be liable for:

• Any indirect, incidental, special, punitive, or consequential damages
• Loss of profits, revenue, data, use, or other intangible losses
• Unauthorized access to or alteration of your transmissions or data
• Any statements or conduct of third parties on the services
• Any other matters relating to the services

Even if we have been advised of the possibility of such damages, our total liability shall not exceed the amount you paid for the services in the past 12 months, or NTD 10,000 (whichever is greater).

You agree to indemnify, defend, and hold harmless Joseph Intelligence and its directors, employees, agents, partners, and licensors from any claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from:

• Your use of and access to the services
• Your violation of any provision of these terms
• Your infringement of any third party's rights, including but not limited to intellectual property rights
• Any content you upload to the services

10.1 Informal Resolution: If you have any dispute or claim regarding our services, we encourage you to first attempt informal resolution by contacting our customer service department.

10.2 Governing Law: These terms are governed by and construed in accordance with the laws of the Republic of China (Taiwan), without regard to its conflict of law provisions.

10.3 Jurisdiction: Any legal proceedings arising out of or in connection with these terms shall be submitted to the exclusive jurisdiction of the Taiwan Taipei District Court.

We reserve the right to modify or replace these terms at any time. If the modifications are material, we will provide at least 30 days' notice before the new terms take effect.

Continued access to or use of our services after the revisions take effect constitutes your agreement to be bound by the revised terms. If you do not agree to the new terms, please stop using the services.

12.1 Entire Agreement: These terms constitute the entire agreement between you and Joseph Intelligence regarding the use of the services and supersede all prior agreements and understandings.

12.2 Severability: If any provision of these terms is found to be invalid or unenforceable, such provision shall be limited or deleted to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

12.3 Waiver: Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.

12.4 Assignment: You may not assign or transfer these terms without our prior written consent. We may assign our rights under these terms without restriction.
